1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the VR Goals platform and related websites, applications, APIs, communications tools, and services (collectively, the “Service”), operated by BnB Ventures LLC (“VR Goals,” “we,” “us,” or “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.
2. Description of Service
VR Goals is a multi-tenant SaaS platform for vacation-rental operators, property managers, hospitality businesses, and related service providers. The Service provides tools for setting and tracking goals, organizing projects and tasks, scheduling meetings, collaborating around strategic objectives, and, where enabled, managing communications and messaging workflows.
Messaging features may include software used to register 10DLC brands and campaigns, submit campaign descriptions and message flows, provision, assign, port, or manage telephone numbers, send and receive SMS and MMS, receive delivery reports and carrier notices, process HELP and opt-out requests, store consent and suppression records, and interact with third-party communications networks.
Telnyx may provide underlying telephone numbers, messaging transport, 10DLC registration tools, toll-free verification tools, campaign provisioning, and carrier connectivity. The Campaign Registry, wireless carriers, number providers, verification vendors, fraud-prevention vendors, regulators, government agencies, and other communications providers may review, receive, or process information connected to registration, verification, approval, number provisioning, message delivery, compliance, and abuse prevention.
Messaging availability, registration, throughput, filtering, delivery, porting, approval, and continued approval depend on Telnyx, The Campaign Registry, wireless carriers, regulators, number providers, and other third parties. We do not promise campaign approval, uninterrupted delivery, delivery speed, number availability, message throughput, successful number porting, or that a number, brand, campaign, or use case will remain approved.
3. Account Registration and Authority
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration and keep it updated.
- Keep your password, API credentials, and account access secure and confidential.
- Notify us immediately of any unauthorized use of your account.
- Remain responsible for all activity under your account, including activity by employees, contractors, agents, administrators, connected integrations, and other users you authorize.
If you submit legal entity, brand, campaign, telephone-number, porting, website, opt-in, Privacy Policy, SMS Terms, representative, or business verification information through the Service, you represent and warrant that the information is complete, accurate, current, and authorized. You further represent that you have authority to act for each submitted legal entity and brand, authority to register, provision, assign, or port each telephone number, and authority to submit the applicable EIN, address, website, business contact, authorized representative, use case, and campaign materials.
You may not impersonate another company, submit another company’s EIN without authorization, misstate your business identity, conceal the actual sender, or submit websites, privacy policies, opt-in flows, sample messages, campaign descriptions, or support information that are inconsistent with your actual messaging practices.
You authorize VR Goals to submit, resubmit, format, transmit, and otherwise provide your information and campaign materials to Telnyx, The Campaign Registry, wireless carriers, number providers, verification providers, fraud-prevention vendors, regulators, government agencies, and other parties involved in registration, verification, number provisioning, message delivery, compliance, investigations, or abuse prevention. VR Goals may provide compliance suggestions, but you remain responsible for reviewing and approving the accuracy, legality, and sufficiency of the materials.
4. Free Trial
We may offer a 14-day free trial of the Service. During the trial period, you may have access to selected or full features of the Service. At the end of the trial period, your account may transition to a read-only state unless you upgrade to a paid subscription. We reserve the right to modify or discontinue free trials at any time.
5. Subscription, Billing, and Messaging Costs
Paid subscriptions are available in various plans as described on our pricing page or in an order form. Payments may be processed through Stripe or another payment processor. You authorize us to charge your payment method on a recurring basis unless cancelled before renewal.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by law or stated in a signed order form.
- Taxes: Prices may be exclusive of applicable taxes. You are responsible for taxes associated with your subscription.
- Messaging pass-through costs: Messaging services may incur brand-registration fees, campaign submission and resubmission fees, monthly campaign fees, telephone-number costs, messaging charges, carrier surcharges, porting fees, toll-free verification fees, identity verification fees, and other third-party costs.
- Non-refundable third-party fees: Fees submitted to Telnyx, The Campaign Registry, carriers, verification vendors, number providers, or other third parties may be non-refundable once submitted, even if a brand, campaign, number, or port is rejected, delayed, suspended, or withdrawn.
- Customer-caused costs: You are responsible for fines, penalties, investigation costs, remediation charges, carrier fees, and third-party charges caused by your content, consent practices, false or incomplete information, misuse of numbers, prohibited traffic, or other breach of these Terms. You are not responsible for costs caused solely by VR Goals’ own breach, error, or misconduct.
6. Consent, Recipient Lists, and Messaging Compliance
For messages sent by you or on your behalf to your recipients, you generally act as the message sender and business or controller. VR Goals generally acts as your platform provider, communications service provider, processor, or service provider for customer messaging data, while retaining the right to independently process information for security, billing, legal compliance, fraud prevention, platform analytics, service administration, and enforcement.
You are responsible for:
- Obtaining and documenting all consent required by the Telephone Consumer Protection Act, FCC rules, state telemarketing laws, privacy laws, CTIA guidelines, carrier rules, Telnyx requirements, The Campaign Registry requirements, and the registered campaign.
- Maintaining evidence showing who consented, when, how, to which brand, for which program or use case, from which source, using which telephone number, and under which disclosure version.
- Using separate consent for materially different programs when required, and separate, specific, optional consent for promotional or marketing messages.
- Ensuring SMS consent boxes start unchecked, are not forced, and are separate from email consent and telephone-call consent.
- Not using purchased, rented, scraped, appended, harvested, borrowed, or unlawfully shared recipient lists.
- Sending messages only under the registered brand, approved use case, approved campaign, and authorized telephone numbers.
- Providing your recipients with your own legally required notices, Privacy Policy, SMS Terms, support contact, and opt-out instructions.
Providing a telephone number alone does not automatically create consent for automated, recurring, or promotional messaging. If a communication contains marketing or promotional content, you must have the level of consent required for marketing, even if the message also contains operational information.
7. Opt-Outs, Revocation, and Suppression
You must honor STOP, CANCEL, END, QUIT, UNSUBSCRIBE, REVOKE, OPT OUT, and other supported opt-out keywords. You must also honor consent revocation communicated through any legally recognized reasonable method, including a reasonable reply text that clearly expresses a desire not to receive further messages, a support request, email, phone call, website request, or other method required by applicable law. STOP may be the fastest automated method, but it is not the only valid method to revoke consent.
You must process opt-outs promptly and within the time required by law, carrier rules, and campaign requirements. VR Goals may place a telephone number on a tenant-specific or platform suppression list and block further messages after an opt-out or suspected unlawful traffic. You may not bypass a suppression record by changing numbers, campaigns, users, properties, brands, integrations, or accounts.
After an opt-out, you may send only a limited confirmation message permitted by applicable law and carrier rules. That confirmation must not include marketing or promotional content unless the recipient has separately provided renewed valid consent.
8. Customer Messaging Responsibilities
You are responsible for your:
- Message content, message timing, recipient selection, campaign classification, use case selection, and sending volume.
- Opt-in workflows, consent records, privacy notices, SMS terms, and customer-support responses.
- Property, reservation, guest, owner, employee, vendor, contractor, lead, temporary access-code, and sensitive operational information you transmit.
- Compliance by employees, contractors, agents, representatives, administrators, and connected software.
- Review of campaign status, carrier notices, rejected messages, delivery reports, abuse reports, and registration updates.
SMS and MMS are not appropriate for emergencies or for highly sensitive information when a more secure channel should be used. You should not rely on SMS or MMS for emergency communications, life-safety instructions, or time-critical access when delay or non-delivery could cause harm.
9. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, carrier rule, industry guideline, third-party right, or these Terms.
- Upload, transmit, or store content that is illegal, harmful, threatening, abusive, defamatory, harassing, deceptive, or fraudulent.
- Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service.
- Use automated means to access or collect data from the Service without our express written permission.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Interfere with or disrupt the integrity, security, availability, or performance of the Service.
- Use the Service to send unsolicited communications, spam, phishing, smishing, malware, credential theft, or impersonation messages.
- Impersonate any person or entity, conceal the sender’s identity, or misrepresent your affiliation.
Additional rules for messaging are available in the Messaging Acceptable Use Policy, which is incorporated into these Terms.
10. Prohibited Messaging
You may not send or facilitate:
- Illegal, deceptive, misleading, threatening, harassing, abusive, or fraudulent messages.
- Messages that conceal or misstate the sender’s identity.
- Unregistered traffic, mismatched traffic, snowshoe traffic, or traffic inconsistent with the registered brand, campaign, sample messages, opt-in flow, or approved use case.
- Marketing sent through an operational, customer-care, security, or transactional campaign unless the campaign and consent support that marketing use.
- Content prohibited by Telnyx, carriers, CTIA guidelines, The Campaign Registry, or applicable law, including SHAFT content or other restricted content without permitted registration, consent, and age verification where applicable.
- Messages after an opt-out, except for a lawful confirmation or other legally permitted communication.
- Manipulation of throughput, campaign registration, carrier filtering, opt-out handling, or number allocation.
- Shared use of one customer’s campaign, number, or brand by unrelated businesses.
- Transmission of highly sensitive information through SMS or MMS when that channel is not appropriate, including full payment credentials, government identification numbers, passwords, or door codes where a more secure workflow is required.
11. Platform Enforcement
VR Goals may review campaign submissions, sample messages, opt-in flows, Privacy Policy links, SMS Terms links, support records, delivery reports, opt-in evidence, and message activity for operational, security, legal, carrier, or compliance purposes. We may refuse or delay a submission, request supporting records, require corrections, edit formatting with your approval where needed for submission, block prohibited recipients or content, quarantine messages, apply suppression lists, or suspend messaging, campaigns, brands, users, numbers, integrations, or accounts.
We may cooperate with carrier, registry, Telnyx, law-enforcement, regulatory, or fraud-prevention investigations. We may take immediate action without prior notice when continued traffic presents legal, security, reputational, carrier, deliverability, abuse, or platform risk.
Where practical, we will notify you of the issue and give you an opportunity to correct it or provide supporting evidence. Appeals or corrections should be sent to [email protected] or through the support channel we designate. Severe, repeated, unlawful, or high-risk violations may result in termination.
12. Telephone Numbers and Service Changes
Telephone numbers are subject to availability, eligibility, identity verification, regulatory requirements, carrier requirements, and number-provider policies. Number assignment does not guarantee permanent availability. Porting requires accurate information, customer cooperation, losing-provider cooperation, and third-party approval. We do not guarantee successful or timely porting.
Numbers, campaigns, and traffic may be reclassified, suspended, filtered, limited, reclaimed, or reassigned due to nonpayment, termination, regulatory action, carrier action, number-provider action, suspected abuse, or failure to maintain required registration or verification. Customer-ported numbers will be handled according to the applicable porting documents, carrier requirements, and any signed order form; these Terms do not state that VR Goals owns customer-ported numbers unless a separate written agreement says so.
If voice service or emergency calling is offered in the future, additional terms will apply. SMS and MMS are not emergency services and should not be used for 911, urgent safety, or life-safety communications.
13. Intellectual Property
The Service, including its design, code, features, documentation, logos, and trademarks, is owned by BnB Ventures LLC and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
You retain all ownership rights to the content and data you create within the Service. We claim no intellectual property rights over your User Content.
14. User Data and Content
You retain ownership of all data and content you upload, create, transmit, receive, or store in the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, disclose to authorized subprocessors and communications providers, and display User Content as needed to provide, secure, administer, support, and improve the Service; comply with law; prevent fraud and abuse; and enforce these Terms.
You have the right to export your data through available platform functionality or by contacting support, subject to technical, legal, security, and contractual limits. You are responsible for maintaining appropriate backups of your User Content.
15. Privacy and Data Processing
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect personal information. Where VR Goals processes personal information on your behalf as a processor or service provider, applicable data-processing terms may apply through a signed order form, data processing addendum, or other written agreement.

16. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to scheduled maintenance, emergency maintenance, security updates, third-party service outages, carrier or registry outages, message filtering, force majeure events, or other factors beyond our control. Unless you are on an Enterprise plan with a separate Service Level Agreement, we do not guarantee specific uptime percentages or provide credits for downtime.
17. Disclaimers
The Service is provided “as is” and “as available” to the maximum extent permitted by law. We do not warrant that the Service, messaging networks, integrations, carrier routes, registration processes, delivery reports, security controls, or third-party services will be error-free, uninterrupted, approved, accepted, secure, or available at any particular time.
18. Limitation of Liability
To the maximum extent permitted by law, BnB Ventures LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, use, goodwill, deliverability, carrier approval, campaign approval, telephone numbers, or business opportunity, arising out of or in connection with these Terms or the Service.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.
Attorney review recommended. Liability caps, exclusions, consumer-law exceptions, arbitration, and class waivers should be reviewed by licensed counsel for the governing law, customer type, and sales motion.
19. Indemnification
You agree to indemnify, defend, and hold harmless BnB Ventures LLC and its officers, directors, employees, and agents from and against claims, liabilities, damages, losses, penalties, fines, carrier charges, investigation costs, remediation costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law, carrier rule, industry guideline, third-party right, privacy obligation, or messaging requirement; (d) your User Content or message content; (e) missing, invalid, undocumented, or revoked consent; (f) unlawful marketing; (g) false, incomplete, or unauthorized brand, EIN, number, campaign, or registration information; (h) claims from message recipients; (i) unauthorized number use; (j) security problems caused by you or your users; or (k) misuse of guest access codes, reservation information, owner information, employee information, vendor information, or other sensitive content. This indemnity does not apply to the extent a claim is caused solely by VR Goals’ own breach, error, or misconduct.
20. Termination
You may close your account at any time through your account settings or by contacting support. We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, create legal or carrier risk, or for any other reason with reasonable notice where practical.
Upon termination, you may have a limited period to export your data, subject to legal, security, technical, payment, and compliance limits. We will delete, retain, or anonymize data in accordance with our Privacy Policy and applicable law. Suppression records, audit records, billing records, security records, and compliance records may need to survive termination.
21. Dispute Resolution
Governing law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Arbitration: Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, United States, and shall be conducted in English.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
22. Changes to Terms
We may modify these Terms at any time. For material changes, we will provide at least 30 days’ notice by posting the updated Terms on the Service and, where appropriate, by sending a notification. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.
23. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
24. Entire Agreement
These Terms, together with the Privacy Policy, Messaging Acceptable Use Policy, SMS Terms, order forms, and any other agreements expressly incorporated by reference, constitute the entire agreement between you and BnB Ventures LLC regarding the Service and supersede prior agreements, communications, or understandings relating to the subject matter.
