Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the VR Goals OKR Platform (“Service”), operated by BnB Ventures LLC (“VR Goals,” “we,” “us,” or “our”).

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your account information to keep it accurate and current.
• Keep your password secure and confidential. You are responsible for all activity under your account.
• Not create more than one account per individual.
• Notify us immediately of any unauthorized use of your account.

If you are using the Service on behalf of an organization, the organization is responsible for all accounts created under its domain and for ensuring that all users comply with these Terms.

We may offer a 14-day free trial of the Service. During the trial period, you will have access to the full features of the Service.

At the end of the trial period, your account will transition to a read-only state unless you upgrade to a paid subscription. In read-only mode, you can view your existing data but cannot create or edit content. Your data will be retained for a reasonable period to allow you to upgrade. We reserve the right to modify or discontinue the free trial at any time.

Paid subscriptions are available in various plans as described on our pricing page. By subscribing, you agree to:

• Payment: All payments are processed securely through Stripe. You authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your plan).
• Recurring billing: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Price changes: We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing period.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
• Taxes: Prices may be exclusive of applicable taxes. You are responsible for any taxes associated with your subscription.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload, transmit, or store content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks connected to the Service.
• Use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our express written permission.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to send unsolicited communications (spam).
• Impersonate any person or entity or misrepresent your affiliation.

We reserve the right to suspend or terminate accounts that violate these terms.

The Service, including its design, code, features, documentation, logos, and trademarks, is owned by BnB Ventures LLC and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

You retain all ownership rights to the content and data you create within the Service. We claim no intellectual property rights over your content.

You retain ownership of all data and content you upload, create, or store in the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, and display your User Content solely for the purpose of providing and improving the Service.

You have the right to export your data at any time. We provide data export functionality to ensure you are never locked into the platform.

You are responsible for maintaining backups of your User Content. While we take reasonable measures to protect your data, we are not liable for any loss or corruption of User Content.

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible).
• Emergency maintenance or security updates.
• Factors beyond our control, including third-party service outages, natural disasters, or other force majeure events.

Unless you are on an Enterprise plan with a separate Service Level Agreement (SLA), we do not guarantee specific uptime percentages or provide credits for downtime.

To the maximum extent permitted by law, BnB Ventures LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

Either party may terminate these Terms at any time:

• By you: You may close your account at any time through your account settings or by contacting support. Upon closure, your subscription will be cancelled.
• By us: We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or for any other reason with reasonable notice.

Upon termination, you will have a 30-day period to export your data. After that period, we will delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Dispute Resolution) will survive.

Governing law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Arbitration: Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, United States, and shall be conducted in English.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
